TERMS OF USE

1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Starcode Tech vl. Karlo Starčević, a sole proprietorship (obrt) registered in the Republic of Croatia ("Company", "we", "us", or "our"), governing your access to and use of the ScrimX platform ("Service", "Platform").

By creating an account or using ScrimX, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Service Description

ScrimX is a Software-as-a-Service (SaaS) platform designed for esports teams, coaches, and players. The Platform provides tools for:

  • Team and organization management
  • Scrim scheduling, matchmaking, and result tracking
  • Strategy creation and collaboration
  • Scouting reports and opponent analysis
  • Calendar and task management
  • Player statistics and leaderboards
  • Linked game account verification
  • Premium subscription features via Stripe billing

3. Eligibility

To use ScrimX, you must:

  • Be at least 16 years of age (or the minimum digital consent age in your jurisdiction)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable law

If you are between 16 and 18 years of age, you represent that your parent or legal guardian has reviewed and consents to these Terms.

4. Account Registration & Security

  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the security of your account credentials.
  • You must verify your email address to access full platform functionality.
  • You must not share your account with others or create multiple accounts.
  • You must notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

5. Acceptable Use Policy

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Harass, abuse, threaten, or intimidate other users
  • Impersonate any person or entity, or falsely represent your affiliation
  • Upload malicious code, viruses, or any harmful material
  • Attempt to gain unauthorized access to other accounts, systems, or networks
  • Use bots, scrapers, or automated tools to access the Service without permission
  • Interfere with or disrupt the Platform's operation or infrastructure
  • Circumvent any rate limits, security measures, or access restrictions
  • Use the platform for match-fixing, cheating, or any form of competitive integrity violation
  • Exploit bugs or vulnerabilities instead of reporting them

6. User Content

"User Content" means all data, text, images, strategies, scouting reports, and other material you create, upload, or share through the Platform.

  • Ownership: you retain ownership of your User Content.
  • License: by using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, display, and transmit your User Content solely as necessary to operate and provide the Service.
  • Responsibility: you are solely responsible for your User Content and must ensure it does not violate any laws or third-party rights.

We reserve the right to remove User Content that violates these Terms without prior notice.

7. Subscriptions & Payments

  • ScrimX offers both Free and Premium subscription tiers.
  • Premium subscriptions are billed on a monthly or yearly basis through Stripe.
  • Prices are displayed before purchase and may be updated with 30 days' notice.
  • Subscriptions auto-renew unless cancelled before the end of the current billing period.
  • Refunds are handled in accordance with applicable consumer protection laws. EU consumers have the right to withdraw within 14 days of purchase if the service has not been fully performed.
  • We reserve the right to modify pricing with reasonable notice.

8. Free Tier & Trials

The Free tier provides limited access to Platform features. We may offer trial periods for Premium features at our discretion. Trial terms will be communicated at the time of enrollment. We reserve the right to modify or discontinue trials at any time.

9. Intellectual Property

The ScrimX name, logo, design, code, and all associated intellectual property are owned by Starcode Tech vl. Karlo Starčević. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.

Game names, logos, and related assets (League of Legends, Valorant, CS2, Rocket League) are trademarks of their respective owners. ScrimX is not affiliated with, endorsed by, or sponsored by any game publisher.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

We do not guarantee that: (a) the Service will be error-free or uninterrupted; (b) results obtained through the Service will be accurate or reliable; (c) any defects will be corrected within a specific timeframe.

This disclaimer does not affect your statutory rights as a consumer under EU or Croatian law, which cannot be waived by contract.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STARCODE TECH VL. KARLO STARČEVIĆ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.

Nothing in these Terms limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded under applicable law, including EU consumer protection regulations.

12. Indemnification

You agree to indemnify, defend, and hold harmless Starcode Tech vl. Karlo Starčević and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your User Content.

13. Termination

  • You may terminate your account at any time through your account settings or by contacting us.
  • We may suspend or terminate your account for violation of these Terms, with or without notice.
  • Upon termination, your right to use the Service ceases immediately.
  • We will handle your data in accordance with our Privacy Policy upon termination.
  • Sections that by their nature should survive termination (liability, indemnification, governing law) will survive.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Croatia, without regard to conflict-of-law principles.

Any disputes arising from these Terms or the Service shall be resolved by the competent courts in the Republic of Croatia.

EU consumers: nothing in these Terms affects your rights under mandatory EU consumer protection laws. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

U.S. users: to the extent permitted by law, you agree to resolve disputes through binding arbitration on an individual basis, waiving any right to participate in class actions. This does not affect your CCPA rights or other statutory protections.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Starcode Tech vl. Karlo Starčević regarding the use of ScrimX.
